It is not necessary for any Client to have signed an acceptance of these terms and conditions for them to apply. If a client uses our service or accepts an estimate or quote, then the Client will be deemed to have satisfied themselves as to the terms herein and have accepted these terms and conditions in full.
Please read these Terms and Conditions carefully. Any acceptance to use our services implies that the Client has read and accepted our Terms and Conditions.
Integral IT Services Ltd provides online web based services i.e Website Development, Software Development, Web application, Mobile application (Android/ Iphone), SEO(Search Engine Optimization, 3D Animation , Website Hosting and Email hosting.
Integral IT Services ltd will provide the estimate to client for the development work or for the services. The estimate which Integral IT Services Ltd will provide will be described in the SITE SPECIFICATION. Additional work will result in additional charges. Additional work is defined as the addition of pages, graphics, or other significant features, any graphic, page design, or actual page requiring revisions, revisions to text content provided ready for publication, changes to elements which have been finalized, or significant changes in plan, scope, or direction of project. In this case, Client will be charged for the additional work.
The process for the creation of visuals, such as graphics and page designs, consists of Integral IT Services Ltd providing drafts and asking for feedback from Client.
Text content will be provided by Client as final drafts ready for publication and in digital form. Graphic content will be provided by Client in an orderly manner and clearly labelled as to desired use on site.
To maintain our portfolio credentials, and the integrity of any applicable copyrights, Integral IT Services Ltd shall be entitled to place an unobtrusive credit with a hypertext link (“Web Site Design by…”) in the footer on each page of the web site. Design Firm is also entitled to reproduce samples of Client’s web site in our portfolio and in any marketing materials.
Integral IT Services Ltd may use qualified subcontractors under our supervision for any or all work on this project.
Site Specifications:- All the features of the project will be mentioned in site specification.
Website Planning and Management:
Website Description: Integral IT Services Ltd will describe the project in ‘website description ‘, and also send the client all the information in same format. Integral IT Services Ltd will ensure the confidentiality of all the information about clients, gained as a result of work on this project.
( Please note: Any addition to this specification will be charged separately)
ESTIMATE AND PAYMENT ARRANGEMENTS: Integral IT Services Ltd will give the estimates cost for producing the project described in the site specification.
Payment shall be made as follows:
A deposit of 50% is due, before work begins. (Search Engine Optimisation-SEO work is charged 100% in advance.)
A final remaining 50% payment (adjusted again for changes in estimate if necessary) is due upon completion of site as specified, before site is published on the Internet. Integral IT Services Ltd will give you the estimate days to finish the project ( Client has to provide the information on time, if the information is delayed the project will automatically delayed and Integral IT Services Ltd will not be responsible for it)
Integral IT Services Ltd will maintain the confidentiality of Client’s source materials, technical and all other sensitive information.
Integral IT Services Ltd and Client agree that any dispute arising out of this Agreement shall first be resolved by mediation.
Upon full payment of all invoices due, copyright to page designs, produced by Integral IT Services Ltd for Client shall belong to Client. Secondary materials created by Integral IT Services Ltd during production, including drafts, plans, graphic source files, and templates, remain the sole property of Integral IT Services Ltd unless other arrangements are made.
Client is solely responsible for the editorial content of the material included on its website. Accordingly, Client will agree that it will defend and indemnify (hold harmless) Integral IT Services Ltd from any suit, demand, or claim resulting from the editorial content of the website.
Client represents to Integral IT Services Ltd and unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to Integral IT Services Ltd for inclusion in Client’s web site are owned by Client, or that Client has permission from the rightful owner to use each of these elements, and will hold harmless, protect and defend Integral IT Services Ltd and its subcontractors from any claim or suit arising from the use of such elements furnished by the Client.
Integral IT Services Ltd will set up web hosting for Client with a professional hosting company known to be reliable. However, Integral IT Services Ltd makes no guarantees as to minimum “uptime”, nor shall Integral IT Services Ltd be held responsible for any direct, indirect, special or consequential damages resulting from possible lapses in hosting services. Such possible damages include any lost profits or business interruption or loss of digital data.
Integral IT Services Ltd will not be liable to Client or to any third party for any damages arising from the use of web site. Please click here for hosting terms & conditions
If any provision of this agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforce ability of any remaining provisions.
